Abstract
تناولت الباحثة في هذه الدراسة نطاق المسؤولية القانونية المترتبة على عدم تنفيذ الالتزامات خلال المرحلة التمهيدية للتعاقد، وقد تم التركيز على هذه المرحلة من مراحل العقد دون غيرها نظرًا لأهميتها ودورها البارز في التأسيس والإعداد للعقد النهائي، فالتوازن العقدي يتحقق كلما كانت تلك المرحلة تسير بشكل جيد. وتأتي المرحلة التمهيدية للتعاقد على مرحلتين، الأولى مرحلة المفاوضات، والثانية مرحلة العقود التمهيدية، وقد وردت العقود التمهيدية في القوانين المدنية محل الدراسة بالتفصيل، بينت فيها صورها ومفهومها والآثار القانونية المترتبة عليها، كالوعد بالتعاقد والتعاقد بالعربون. وفي المقابل لم ينظم المشرع مرحلة المفاوضات ولم يعتبرها من قبيل المرحلة التمهيدية للتعاقد، معتبرًا اياها مجرد عمل مادي غير ملزم لأطرافه، متجاهلًا التطورات والتغيرات التي طرأت على العقود والمعاملات والتي أدت بدورها إلى تطور مفهوم المفاوضات، فتعدّت كونها مجرد حوار بسيط يجري بين أطرافه لتصبح عملية مركبة يتم من خلالها العديد من الإجراءات والتصرفات القانونية التي يترتب عليها عددًا من الالتزامات، وإغفال المشرع لتلك المرحلة يعني الرجوع إلى القواعد التقليدية العامة في نظرية الالتزام لتطبيقها على المفاوضات. وقد جاءت الدراسة للإجابة على تساؤلها الرئيسي وهو مدى إمكانية تطبيق القواعد التقليدية في نظرية الالتزام على المفاوضات التمهيدية للتعاقد، وهل هناك حاجة لاستبدالها بقواعد أخرى أكثر خصوصية؟ وقد خرجت الدراسة بالعديد من النتائج والتوصيات، أهمها ضرورة تدارك الفراغ التشريعي فيما يتعلق بالمفاوضات التمهيدية للتعاقد والعمل على حماية أطراف العملية التفاوضية من خلال تنظيم المسؤولية القانونية المترتبة على الإخلال بالالتزامات الناشئة في تلك المرحلة. In this thesis, the researcher investigates the extent of legal responsibility resulting from failing to fulfil Pre-Contract obligations with a particular focus on the Pre-Contract obligations compared with other stages of the contractual negotiations. This is due to its significance and prominence in the contract formation and the preparation for the final contract: the balance of legal obligations is determined by the smooth allocation of Pre-Contract obligations between the contracting parties. The Pre-Contract obligations are divided into two: The negotiation and the Preliminary Contractual stages. The Preliminary Contractual stage has undergone extended research in the civil laws including the formalities, the interpretation and the consequential legal responsibility such as the promise to contract, and the contract which is based on earnest payment. On the other hand, the legislator did not consider negotiations as part of the Pre-Contract stage merely considering as not legally enforceable stage. Taking this stance means ignoring the material development and alterations to contracts and transactions fundamental to interpretation of negotiations - which surpassed being merely simplistic dialogue between the parties – to complex set of operation leading to several procedures and legal processes resulting in several obligations. The neglect of the legislator means a regress which limits the Pre- contract negotiations stage and its interpretation to the traditional general principles of the theory of obligations. The research aims to find an answer as to what extent could the traditional general principles of the theory of obligations be implemented on the Pre- contract negotiations, and whether there is necessity to replace it with other principles/rules. The research led to many results and recommendations first and foremost is the importance to rectify the legislative vacuum with regard to the Pre-Contract negotiation and to find viable mechanism to protect the negotiating parties by defining the legal responsibility which result from failure to fulfil the obligations resulted from that stage.
