Abstract
يعد التنظيم التشريعي لشركة الشخص الواحد من أهم الأمور التي استحدثها المشرع الفلسطيني في الشركات التجارية عندما استحدث وأصدر القرار بقانون رقم (42) لسنة 2021 بشأن الشركات التجارية، حيث أنه ايجاد مثل هكذا شركة يمنع ويحد من الصورية وتكشف الستار الذي تغطيه شركة المساهمة الخصوصية في تعدد الشركاء بشكل صوري وليس حقيقي وفي هذه الحالة طبقت شركة الشخص الواحد الواقع العملي بشكل صادق وحقيقي عندما سمح المشرع بإقامة هذه الشركة بواسطة شخص واحد.
وحيث أن هذه الدراسة تهدف إلى وضع قوانين مستقلة لشركة الشخص الواحد، ومعرفة مفهوم شركة الشخص الواحد حيث أنها عبارة عن شركة كباقي الشركات التجارية من حيث الشروط الشكلية والموضوعية وتنشأ بموجب عقد من قبل شخص واحد وتتمتع الشركة بالاستقلال المالي والإداري، ومعرفة أهم خصائص شركة الشخص الواحد وشروطها الموضوعية العامة والخاصة وشروطها الشكلية والجمهور المؤيد والمعارض لها واشكال شركة الشخص الواحد وكيفية انقضاء هذه الشركة سواء بالأسباب العامة أو بالأسباب الخاصة.
حيث تناولت هذه الدراسة شركة الشخص الواحد وطبيعتها القانونية ومدى توافق هذه الطبيعة مع الشركة ذات المسؤولية المحدودة وباقي الشركات المشابهة لها، إلا أن المشرع الفلسطيني والأردني والتشريعات العربية التي نظمت هذا النوع من الشركات لم يورد أي منهم نصوص خاصة بشكل مباشره تخص شركة الشخص الواحد.
وتعتبر شركة الشخص الواحد انقلاب على الأسس التقليدية وثورة حقيقية على مبادئ قانون الشركات والقواعد العامة للشركة، حيث تقوم على تعدد الشركات والمشاركة بينهم والأساس العقد.
The legislative regulation of the one-person company is one of the most important things introduced by the Palestinian legislature in commercial companies when it introduced and issued Decree-Law No. (42) of 2021 regarding commercial companies, as it is the creation of such a company that prevents and limits the sham and reveals the veil that the private joint-stock company covers in its plurality The partners are formal and not real. In this case, the one-person company applied the practical reality in an honest and real way when the legislator allowed the establishment of this company by one person. And since this study aims to set independent laws for the one-person company, and to know the concept of the one-person company, as it is a company like other commercial companies in terms of formal and objective conditions, and it is established under a contract by one person, and the company enjoys financial and administrative independence, and to know the most important characteristics of the one-person company. And its general and specific objective conditions, its formal conditions, the public supporting and opposing it, the forms of one-person company, and how this company is terminated, whether by general reasons or by special reasons. This study dealt with the one-person company and its legal nature and the extent to which this nature is compatible with the limited liability company and the rest of the companies similar to it. The one-person company is considered a coup against the traditional foundations and a real revolution against the principles of corporate law and the general rules of the company, as it is based on the multiplicity of companies, partnership between them, and the basis of the contract.
