| dc.description.abstract | تناولتِ الدراسة موضوع الطّبيعة الخاصّة لعقد نقل التكنولوجيا وتأثيرها على توازن العقد، حيث جاءت في فصلين، واستعرضَتِ الدراسةُ الاحكام المتعلّقة بعقد نقل التكنولوجيا في مشروع قانون التجارة الفلسطينيّ، بالإضافة إلى البحث في ماهية هذا العقد والطبيعة القانونية له، وكيفية تحقيق التوازن العقديّ فيه. تنطوي أهميّة الدراسة العلمية على إبراز مدى الاختلال في التوازن العقديّ بين المتعاقدين، وتأثيره على المتعاقدين، وكذلك تبرز أهميتها العلمية في توضيح المعالجة التشريعية لمثل هذه العقود في مشروع قانون التجارة الفلسطينيّ، أما الأهميّة العملية فتتمثّلُ في أهميّة هذه العقود، حيث إنها تُعدّ الركيزةَ الأساسيّةَ للتنمية والتطور. الهدف من هذه الدراسةتوضيح ماهية عقد نقل التكنولوجيا، وبيان مظاهر التوازن المفقود ومن ثمّ توضيح الشروط المقيدة وتأثيرها في توازن هذا العقد، اتبعت الباحثة المنهج الوصفي التحليلي فقدتمثّلَالمنهجُالوصفيّفيدراسةماهيةعقدنقلالتكنولوجيا، وكذلكدراسةمظاهرالتوازنالعقديّالمفقودفي هذا العقد،أمامايتعلّقبالمنهجالتحليلي،فتمثلَبتحليلالنصوصِالقانونيةِالواردةِفيمشروعقانونالتجارةالفلسطينيّالمتعلّقةبعقدنقلالمعرفةالحديثة، وبرزت إشكالية هذه الدراسةفي تحديد مظاهر التوازن العقديّ المفقود في عقد نقل التكنولوجيا، وكيفية تحقيق التوازن؟ وفي النهاية توصّلتِ الباحثةُ إلى مجموعةٍ منَ النتائج والتوصيات، حيث تركّزت أهمّ النتائج على تعريف عقد نقل التكنولوجيا في إطار عقود المعرفة الحديثة في مشروع قانون التجارة، وكذلك أماطَ المشروع اللّثامَ، وأزاح السّتارَ عن التزامات كلّ طرف من أطراف التعاقد بما يحقّق التوازن العقديّ، ومن أبرز التوصيات العمل على إصدار مشروع قانون التجارة الفلسطينيّ. | ar |
| dc.description.abstract | The study addressed the unique nature of technology transfer contracts and their impact on contractual balance. It was divided into two chapters and reviewed the provisions related to technology transfer contracts in the draft Palestinian Commercial Law. It also examined the essence of this type of contract, its legal nature, and how to achieve contractual balance within it. The significance of the study lies in highlighting the extent of imbalance in contractual relationships between the parties and its effects on them. Its academic value also stems from clarifying the legislative approach to such contracts in the draft Palestinian Commercial Law. On a practical level, the importance of these contracts is evident both internationally and nationally, as they are considered a fundamental pillar of development and progress. The content of the study revolved around clarifying the concept of the technology transfer contract by defining it, then explaining its legal nature through legal classification and its characteristics. It also highlighted the aspects of imbalance in technology transfer contracts by addressing the contractual balance between the parties and illustrating the impact of restrictive clauses on that balance. Moreover, the study explained the legislative treatment of technology transfer contracts in the draft Palestinian Commercial Law. In conclusion, the researcher reached a set of findings and recommendations. The most important findings included defining the technology transfer contract within the framework of modern knowledge contracts in the draft Commercial Law, as well as clarifying the obligations of each contracting party in a way that ensures contractual balance. One of the key recommendations was the necessity of enacting the draft Palestinian Commercial Law. | en |
